RemindNudge provides automated invoice tracking and email follow-up services for freelancers and businesses. We do not handle payment processing directly; we merely facilitate communication between you and your clients.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to use RemindNudge to send spam, harassing, or illegal communications to your clients.
You represent and warrant that any recipient email address you submit through the Service belongs to an individual or entity with whom you have a legitimate, pre-existing business relationship, and that you have the right and authorization to send them invoice-related communications. You are solely responsible for ensuring your use of the Service complies with applicable anti-spam laws and regulations, including but not limited to the CAN-SPAM Act and similar laws in your jurisdiction.
You are solely responsible for the accuracy of all information you submit through the Service, including client names, email addresses, invoice amounts, and due dates.
We reserve the right to suspend or terminate your account at any time, with or without cause, if we believe you have violated these Terms of Service or engaged in abusive behavior.
In no event shall RemindNudge, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
RemindNudge relies on third-party email infrastructure to deliver reminders on your behalf. We do not guarantee that any email will be successfully delivered, delivered on time, or will avoid being marked as spam by the recipient's email provider. We are not responsible for any loss, damage, or missed payment resulting from delayed, undelivered, or misdirected emails, service downtime, or third-party service interruptions.
You acknowledge that RemindNudge is a tool to assist with payment follow-ups and does not guarantee that clients will pay their invoices.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
By submitting information about your clients (including but not limited to names, email addresses, and payment details) through the Service, you represent that you have the legal right to share this information with us for the purpose of providing the Service. RemindNudge will process this third-party information solely to deliver the invoice reminder functionality, in accordance with our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service operator is legally based, without regard to conflict of law principles, regardless of your country of residence or where you access the Service from. Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts having authority over the operator's place of business.
If you are accessing the Service from outside that jurisdiction, you do so on your own initiative and are responsible for compliance with local laws, to the extent applicable.
We may update these Terms from time to time. If we make material changes, we will notify you by posting a notice on our website or sending an email to the address associated with your account. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
